Terms
Last updated: 11 September 2026. These terms govern your use of aiactions.co.uk and set the general basis on which AiActions Ltd provides its services. They sit alongside, not instead of, any signed proposal, statement of work or engagement agreement for a specific project.
By using this website or engaging AiActions Ltd ("AiActions", "we", "us") for a project, you accept these terms. If you are acting on behalf of an organisation, you confirm you have authority to bind that organisation.
AiActions provides AI-powered websites, CRM and automation systems, learning-management platforms, reporting and analytics dashboards, and authorised security testing (penetration testing and vulnerability assessments). Website content is for general commercial information and does not by itself create a contract. The scope, deliverables, pricing, timeline and responsibilities for any specific engagement are confirmed in a written proposal, statement of work or signed agreement, which takes precedence over this page for that engagement.
AiActions Security Testing engagements are provided strictly on the basis that the client owns, or holds explicit written authorisation to test, every target in the agreed scope. Every engagement requires a written scope (targets, dates, permitted testing mode and ports) agreed and sealed before any active check runs. We reserve the right to refuse, pause or terminate an engagement, without refund of work already performed, if we reasonably believe a target is out of scope or authorisation is inadequate. Nothing in these terms, or in any engagement, authorises testing of any system the client does not own or control, and the client indemnifies AiActions against claims arising from inaccurate scope or authorisation information the client provides. See our Acceptable Use Policy for further detail.
Fees are agreed in writing before work begins, either as a one-off project price or per the payment schedule in a signed proposal. Unless otherwise agreed, invoices are due within 14 days of issue. We reserve the right to pause work, and to suspend access to any hosted or delivered system, on overdue payment, on reasonable prior notice.
Unless a signed agreement states otherwise, AiActions retains ownership of pre-existing tools, frameworks, templates and proprietary methods (including the security testing platform itself) used to deliver a project. On full payment, the client receives a licence to use the specific deliverables built for them (their website, CRM configuration, reports, etc.) for their own business purposes. Client-supplied content, branding and data remain the client's property throughout.
We provide our services with reasonable care and skill. Beyond that, and to the fullest extent permitted by law, services and deliverables are provided "as is" without further warranty. In particular: a security testing engagement identifies the vulnerabilities discoverable within its agreed scope, mode and timeframe — it is not a guarantee that a system is free of all vulnerabilities, and does not replace the client's own ongoing security obligations, certified alarm/monitoring systems, or independent compliance certification where required.
Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else which cannot lawfully be limited or excluded. Subject to that, AiActions' total liability arising out of or in connection with a project is limited to the fees paid for that specific engagement in the 12 months before the claim arose, and we are not liable for indirect or consequential loss, including loss of profit, revenue, business opportunity or data, arising from use of our services or deliverables.
Hosting, domains, analytics, CRM, email, payment, LMS and AI platforms we integrate with are operated by third parties. Their availability, pricing and terms can change independently of us, and we are not responsible for their acts, omissions or downtime, though we will act reasonably to help resolve issues that affect your service.
Either party may terminate an ongoing engagement in line with the notice period in the relevant signed agreement, or, where none is specified, on 30 days' written notice. Fees for work completed up to termination remain payable. Sections of these terms and any engagement agreement that by their nature should survive termination (including intellectual property, confidentiality, limitation of liability and payment obligations already due) continue to apply.
These terms, and any engagement with AiActions, are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any dispute, save that we may seek injunctive relief in any competent court to protect our intellectual property or confidential information.
We may update these terms from time to time; the version in force for a specific engagement is the one current at the date that engagement's written agreement was signed, unless we agree otherwise in writing.
